Terms of Service

The terms for organizations that join Scrivica through an approved access request or an invitation, including the 30-day pilot.

A customer with a signed master agreement is governed by that agreement, which overrides these terms.

1. Who We Are and What This Is

These terms are between Star River Capital LLC (“Scrivica”, “we”) and the organization that accepts them (“Customer”, “you”). “Service” means the Scrivica web application for drafting, checking, reviewing and signing clinical study documents, and the features of it enabled for your organization.

By using the Service you agree to these terms for your organization, and you confirm that you have authority to bind it. A pilot starts with a signed order that refers to these terms.

2. Access and Accounts

  • Scrivica is invite-only. Your organization joins after an access request is approved, or after we issue an invitation or an organization link. We may decline any request.
  • Each person uses their own account. Do not share credentials. Your organization's admins set roles (admin, writer, reviewer, QC, approver, viewer). You are responsible for who you invite and which role they get.
  • Your admins can require a second factor for your organization. We recommend that they do.
  • Keep your contact details current and tell us promptly of any unauthorized use.

3. Pilot

If your order says “Pilot”:

  • The pilot fee is $1,000 (US dollars, excluding taxes), due before access begins.
  • The pilot lasts 30 days from the start date in the order. It ends on day 30. The pilot includes an AI budget of $500. We may alert your admins at 50, 75, 90 and 100 percent of the budget, and AI features may be paused when the pilot AI budget is reached.
  • When the pilot ends, your organization becomes read-only. Your admins may export all content for 30 days (the “export period”). After that the organization is locked, and your content becomes eligible for deletion about 90 days after the pilot ended, unless you sign up for a paid plan or ask us in writing to delete earlier.
  • The pilot fee is credited in full against a first paid annual plan if you sign one within 60 days. The order records the credit.
  • A pilot is for evaluation. Do not rely on it as a validated system, and do not use its output in a regulatory submission, or as the sole basis for any decision, unless a separate written agreement says so (see section 9).
  • The pilot is provided “as is” without service levels.

4. What You May and May Not Upload

  • You own your content (section 8). You must have the right to upload it and let us process it to provide the Service.
  • Upload coded data only. Do not upload direct identifiers of study participants, such as names, dates of birth, contact details, government IDs, photos or full-face images. A participant ID such as LDG-101-0007 is an example of coded data. Scrivica does not check this for you, and AI prompts are sent to our AI provider without redaction.
  • Do not upload malware, content that violates law or others' rights, or content you are not allowed to share. Do not probe, scan, overload or reverse engineer the Service, or bypass limits, access controls or rate limits.
  • Do not use the Service to build a competing product or to train a machine learning model.
  • Uploads are limited by file type and size (currently 200 MB per file). We may change limits with notice.

5. AI Features

  • Some features send text from your content to an AI provider (currently Anthropic) to draft, check or suggest. Scanned PDF pages are sent for text recognition automatically when a PDF is uploaded and an AI key is configured. We do not remove personal data from those inputs first.
  • AI output can be wrong. You must review all output, and a qualified person at your organization must approve any document. Scrivica does not give medical, regulatory, statistical or legal advice.
  • We do not train models on your content. Your admins may use your own AI provider key. Then that provider's terms govern.
  • Zero data retention at our AI provider is not yet in place. Until we confirm in writing that it is, use only public, synthetic or non-sensitive data in the Service. See the privacy notice.

6. Fees and Payment

  • Fees are in your order. Taxes are extra.
  • Paid plans renew on the same term unless either side gives 30 days' notice before renewal. Price changes need 60 days' notice and apply only at renewal.
  • If a payment is late, we may suspend access after 15 days' notice. We may charge interest of 1 percent a month or the legal maximum, whichever is lower.
  • Payments are processed by Stripe. We do not store card details.
  • No refunds, except where the law requires or the order says so.

7. Security and Privacy

  • We protect the Service as described on our security page. No system is perfectly secure.
  • For account data (name, email) we are the controller. For content you upload, we act as your processor. See the privacy notice.
  • Our subprocessors are listed on the subprocessors page.

8. Ownership

  • As between you and us, you own your content and the output generated from it. You give us a limited license to host, process, copy and display it only to provide and support the Service to you.
  • We own the Service, its software, prompts, models we build, documentation and know-how. We give you a limited, non-exclusive, non-transferable right to use the Service during the term.
  • We may use feedback you give us without limit or payment, but we will not publish your content or identify you without your written permission.
  • We may use aggregated, de-identified usage statistics (counts, error rates, performance) to operate the Service. We never use your content for this.

9. Regulated Use and Validation

The Service has an audit trail, electronic signature features and role controls designed to support work under 21 CFR Part 11 and similar rules. The Service is not validated for you out of the box. A validation package is in draft and has not been executed or accepted by any customer.

You are responsible for deciding whether and how to use the Service in a regulated process, for your own validation, and for your own regulatory submissions. We are not responsible for any regulatory outcome.

10. Confidentiality

Each side keeps the other's non-public information confidential, uses it only for the Service, and protects it with reasonable care, for 3 years after the term (trade secrets for as long as they remain trade secrets). Exceptions: information that is public, already known, independently developed, lawfully received, or required by law to be disclosed (with notice where allowed). Your content is always your confidential information.

11. Disclaimers

The Service is provided “as is” and “as available”. To the maximum extent the law allows, we disclaim all warranties, including merchantability, fitness for a particular purpose and non-infringement. We do not warrant uninterrupted or error-free operation, or that any AI output is accurate or complete.

12. Limit of Liability

Each side's total liability under these terms is limited to the fees you paid in the 12 months before the claim. For a pilot, the limit is the greater of the fees paid and $5,000.

Neither side is liable for indirect, special, consequential, punitive or lost-profit damages, or for loss of data except as required by law. Nothing limits liability that cannot be limited by law, such as fraud or willful misconduct.

13. Indemnity

You will defend us against third-party claims that your content, or your use of the Service in breach of these terms, violates law or third-party rights.

14. Suspension and Termination

  • You may stop at any time. Pilot and paid terms end as stated in your order.
  • We may suspend access immediately for a security risk. We may suspend access for non-payment after notice, or for a material breach that is not cured within 10 days of notice.
  • When the term ends, you can export your content during the export period (section 3). The export is one ZIP with each record type as JSON, the audit trail as CSV, the original source files if they total under 150 MB, and a manifest with a checksum for each file.
  • After the export period we keep your content locked, then delete it as in section 3. Backups roll off on our provider's schedule after deletion. We keep non-content records we are required or entitled to keep (billing records, license events, platform audit entries).

15. Changes

We may update these terms with 30 days' notice. If you object, you may end the service before the change takes effect. Continued use after that date means acceptance.

16. Legal

  • Neither side may assign these terms without the other's written consent, except to a successor in a merger or a sale of substantially all assets.
  • These terms and your order are the entire agreement. No waiver is implied, a term that cannot be enforced does not affect the rest, notices are in writing to the addresses in the order, and neither side is liable for events beyond its control.
  • Nothing here creates a partnership, agency or employment relationship.
  • Legal notices and questions: legal@scrivica.com.
